1. About these terms

These terms apply between Belnomo Associates Ltd, a company registered in England and Wales under number 12185318 (“we”, “us”), and the business that uses TradeForm (“you”). Where we have also signed an order or agreement with you, that document takes priority if it says something different.

People who fill in a business’s application form are not party to these terms: they are applying for an account with that business, not with us. Our privacy policy explains how their information is handled.

2. The service

TradeForm is software provided as a service. It gives you an online form through which your prospective customers apply for an account with you; checks their details with Companies House and HMRC; and delivers their applications to your authorised staff. TradeForm is currently in a private trial, offered free of charge to businesses we invite, and features may change during the trial.

The service is for businesses only. By using it you confirm that you act in the course of your business and are not a consumer.

3. Your account and users

• You may have one master user and up to two standard users, unless we agree otherwise. The master user manages your other users and your settings.
• Keep your users’ sign-in methods secure, remove users who leave, and tell us promptly at eb+accapp+security@b3s.dev if you suspect any unauthorised access.
• You are responsible for what your users do in the service.

4. Your responsibilities

• Provide accurate company details, wording and settings for your form, including your own privacy notice for applicants and your terms of trade.
• Use the service lawfully, and only to assess and open customer accounts.
• Do not attempt to break, overload, probe or reverse engineer the service, or use it to send unlawful or harmful content.
• Make your own decisions about applications. Results from Companies House and HMRC are as those bodies provide them; a match or a missing record is information to consider, not a guarantee of identity or creditworthiness.

5. Data protection

For the personal information in applications, you are the controller and we are your processor. Our data processing agreement, which forms part of these terms, sets out the details required by Article 28 of the UK GDPR. In summary, we:

• process applicants’ information only on your documented instructions, to provide the service;
• ensure everyone who processes it is bound by confidentiality;
• keep it secure, as described in our privacy policy;
• use only the sub-processors listed in our privacy policy, and give you notice of any change so you can object;
• help you respond to requests from applicants exercising their rights, and with security, breach notification and impact assessments;
• tell you without undue delay, and in any case within 24 hours of becoming aware, of any personal data breach affecting your data;
• delete your data at the end of its retention period and when the service ends, as section 9 explains; and
• give you the information you need to show compliance, and allow reasonable audits.

You are responsible for having a lawful basis for the information you ask applicants for, and for telling them how you use it. A copy of the full data processing agreement is available from eb+accapp+privacy@b3s.dev.

6. Availability and support

We aim to keep the service available and to fix problems promptly, but during the trial we do not promise any particular level of availability. The service depends on third parties, including Cloudflare, Companies House and HMRC; when one of them is unavailable, the form continues to work and applicants can enter details by hand. 7. Security

We protect the service and your data as described in our privacy policy. Please report any security concern to eb+accapp+security@b3s.dev. We may suspend access, in whole or in part, where this is reasonably necessary to protect the service, your data or other users, and will tell you as soon as we can.

8. Intellectual property and confidentiality

We own the TradeForm software and everything we provide with it. You own your content, such as your logo, wording and your applications’ data, and you give us permission to use it only to provide the service to you. Each of us will keep the other’s confidential information confidential and use it only for the purposes of these terms.

9. Ending the service

• You can stop using TradeForm at any time. Before closing your account you can download all your data as tables and files.
• When you close your account, all your data is permanently deleted within 30 days, including copies; you can cancel the closure during that time. We keep only a record that the deletion happened.
• We can end the service with 30 days’ notice, or immediately if you seriously breach these terms. We will give you the chance to download your data first, unless the law prevents it.

10. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.

Subject to that: neither of us is liable for loss of profits, revenue, business or goodwill, or for indirect or consequential loss; and our total liability to you in any 12-month period is limited to the greater of the fees you paid us in that period and £100. The service is provided free of charge during the trial, and to the extent the law allows, we give no other promises about it beyond those in these terms.

11. General

• We may update these terms. We will tell you about significant changes at least 30 days before they take effect; if you do not agree, you can stop using the service.
• Neither of us is responsible for delays or failures caused by events beyond our reasonable control.
• You may not transfer your rights under these terms without our agreement. If any part of these terms is found unenforceable, the rest continues to apply.
• These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
